1 Acceptance of Terms
By accessing our website, submitting a shipment tracking request, a quotation request, or otherwise engaging Diadem Logistics International ("we," "us," or "our") for freight forwarding, cargo transportation, warehousing, or customs clearance services, you ("customer," "you") agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.
2 Description of Services
We provide freight forwarding, cargo transportation, warehousing, customs clearance, and related logistics services as described on our website or as agreed in a specific quotation, booking confirmation, or service agreement. The specific scope of any engagement is defined by the applicable quotation or agreement, not by general descriptions on our website.
3 Quotations & Pricing
Submitting a quotation request through our website does not create a binding contract and does not guarantee pricing. All quotations are estimates based on the information you provide and are subject to review, adjustment, and confirmation by Diadem Logistics International.
Final pricing may vary based on actual cargo weight, dimensions, customs duties, fuel surcharges, storage requirements, or other factors discovered after physical inspection of the shipment. A quotation is only binding once confirmed in writing by an authorized representative of Diadem Logistics International.
4 Booking & Shipment Instructions
You are responsible for providing accurate and complete information about your shipment, including but not limited to cargo description, weight, dimensions, value, and any hazardous or special-handling characteristics. We are not liable for delays, additional costs, or losses arising from inaccurate, incomplete, or misleading information provided by you.
5 Payment Terms
Payment terms, including applicable currency, due dates, and accepted payment methods, will be specified in your quotation or service agreement. [Insert your standard payment terms, e.g. deposit requirements, payment before release of goods, late payment penalties, etc.]
6 Prohibited & Restricted Cargo
We reserve the right to refuse to transport, store, or clear any cargo that is illegal, hazardous, improperly declared, or otherwise restricted under applicable law or carrier/customs regulations, including but not limited to [list your company's specific prohibited items, e.g. illegal drugs, unlicensed firearms, counterfeit goods, undeclared hazardous materials]. You warrant that your shipment does not contain any prohibited or undeclared restricted items.
7 Cargo Insurance
Cargo insurance is available on request and, unless otherwise agreed in writing, is the customer's responsibility to arrange or explicitly request. Unless cargo insurance has been purchased and confirmed, we are not liable for the full replacement value of lost or damaged cargo, and our liability is limited as described in Section 8.
8 Limitation of Liability
To the fullest extent permitted by applicable law, our liability for any loss, damage, or delay related to your shipment is limited to [insert your liability cap, e.g. "the amount specified under [applicable convention/regulation] or [a fixed amount / per-kg rate], whichever is lower"], unless a higher value has been declared in writing and any applicable additional charge has been paid.

10 Force Majeure

11 Customs & Regulatory Compliance
You are responsible for ensuring that your shipment complies with all applicable customs, import, export, and trade regulations. We may act as your agent for customs clearance purposes where engaged to do so, but we are not responsible for delays, penalties, or seizures resulting from your failure to provide accurate documentation or comply with applicable regulations.
12 Intellectual Property
All content on our website, including text, graphics, logos, and design, is the property of Diadem Logistics International or its licensors and may not be copied, reproduced, or distributed without our prior written consent.
13 Termination & Suspension
We reserve the right to suspend or terminate any service engagement, with or without notice, in cases of non-payment, provision of false information, illegal cargo, or breach of these Terms & Conditions.
14 Governing Law & Jurisdiction
These Terms & Conditions are governed by the laws of [Federal Republic of Nigeria], without regard to conflict-of-law principles.
